RELEASE AND CONSENT AGREEMENT
You, a United States citizen whose address is set forth below (“Customer”) through this Release and Consent Agreement (the “Release and Consent Agreement”) hereby acknowledges and agrees that Customer shall be performing testing of products (collectively, “Products”) created by Advanced Beauty Systems, Inc. that are not yet in the marketplace.
In exchange for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Customer hereby grants to the Corporation and its affiliates the irrevocable, perpetual, worldwide right to use, display, reproduce, and transmit any and all information and data submitted by the Customer to the Corporation in any media which correspond or relate to the Products, in any way and to use such information and data for any commercial, promotional, editorial or any other purpose in any media.
Customer hereby waives any right to inspect or approve the Corporation’s use of the information and data referenced in the previous paragraph. Customer hereby releases, discharges, indemnifies, defends and holds the Corporation and its affiliates, officers, directors, shareholders, employees, independent contractors and agents harmless from and against any and all claims or causes of action of whatever nature and kind, whether in contract or in tort arising from or related to the Products or Customer’s use thereof or claims for any consideration or compensation for the rights granted to the Corporation hereunder.
Customer agrees that Customer is expressly prohibited from using the Products and from using any and all intellectual property associated with the Products including, without limitation, trademarks, trade names, trade secrets, copyrights and patents, without the express prior consent of the Corporation which consent may be withheld, delayed or conditioned by the Corporation in its sole and absolute discretion. Customer shall maintain the confidentiality of the Products and of the intellectual property associated with the Products and shall not disclose same to any other person or entity without the express prior consent of the Corporation which consent may be withheld, delayed or conditioned by the Corporation in its sole and absolute discretion.
Customer further acknowledges and agrees that neither the Customer nor any of the Customer’s immediate family members is a director, officer, employee, affiliate, equity owner, consultant or agent of or for a cosmetic company, and that the execution and delivery of this Release and Consent Agreement does not conflict with or result in a violation of any agreement of which Customer is a party or of which Customer is bound.
This Release and Consent Agreement is governed by and construed in accordance with the laws of the State of Texas without regard to the conflict of law principles thereof. In the event of a dispute arising in connection with this Release and Consent Agreement, the Superior Court of the State of Texas and the United States District Court for the District of Texas, shall have co-exclusive jurisdiction to resolve such a dispute.
Customer hereby represents and warrants that he/she is over eighteen years of age and has the right and authority to enter into this Release and Consent Agreement. Customer has read this Release and Consent Agreement prior to its execution and acknowledges that Customer fully understands its contents. This Release and Consent Agreement shall be binding upon Customer and his/her heirs, legal representatives, successors and assigns.
